We advise our clients on sell-side transactions of Companies, relevant shareholdings or quotaholdings, business units and related assets through the analysis of the situation and recommending the best suited strategic and financial alternatives. During the process, we reach out to the most adequate investors (strategic or financial) supporting our clients throughout the entire negotiation process with the aim to satisfactory close the transaction.

A typical Sell-side process may include:

  • Analysis of our client’s business and its growth strategy;
  • Preparation of the Company for a Sell-side process;
  • Valuation of the business;
  • Discussions and deliberation of the best M&A alternatives;
  • Identification and contact of potential investors;
  • Determination of the execution and negotiation strategies;
  • Production of the marketing materials (Teaser, InfoMemo, etc.) focusing of presenting the business, its strengths and the key people to potential buyers;
  • Due Diligence process coordination;
  • Negotiation of the final terms of the transaction (SPA, etc.).
